BoardTac Solutions Terms and Conditions. These terms and conditions govern the provision of CCTV installation, Biometric access control, IT support, network installation and repair services by BoardTac Solutions. By engaging our Services, you agree to be bound by these terms and conditions.

2. Scope of Services

2.1. We will provide CCTV installation, Biometric access control, IT support, network installation and repair services as agreed upon with you. The scope of work will be outlined in the quotation or agreement provided to you prior to commencement of work.

2.2. Any additional services requested by you that are not included in the original scope of work may incur additional charges, subject to agreement between both parties.

3. Quotations and Pricing

  • Quotations provided by us are valid for a period of 30 days from the date of issuance, unless otherwise stated.
  • Prices quoted are exclusive of any applicable taxes unless otherwise stated. Any taxes applicable to the Services will be added to the final invoice.
  • We reserve the right to adjust our prices at any time, but such changes will not affect any quotations provided prior to the adjustment.

4. Payment Terms

  • Payment for our Services is due upon completion of the installation, unless otherwise agreed upon in writing.
  • Payment shall be made in the currency specified in the quotation or invoice.
  • Late payments may be subject to interest at a rate accruing from the due date until the date of payment.

5. Warranty

  • We warrant that our installation services will be performed with reasonable care and skill.
  • We provide a 1year warranty on the installation workmanship. This warranty covers defects in workmanship but does not cover damage caused by misuse, negligence, or unauthorized modifications.
  • Equipment supplied by us may be covered by manufacturer warranties like Hikvision Dahua or Uniview.

6. Limitation of Liability

  • Exclusion of Consequential Damages: To the fullest extent permitted by law, BoardTac Solutions shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with theCCTV installation, Biometric access control, IT support, network installation and repair services provided, including but not limited to loss of profits, loss of business, or loss of data.
  • Limitation of Direct Damages: BoardTac Solution’s liability for any direct damages shall be limited to the total amount paid by the customer for the CCTV installation services.
  • While UPS can reduce the risk of damage to your CCTV system, CCTV, Biometric access control, IT and networking equipment by power surges, they do not provide absolute protection. We shall not be liable for any damages to your CCTV, Biometric and IT equipment or property resulting from power surges, regardless of whether UPS have been installed or not.
  • We shall not be liable for any damages to third-party equipment or property connected to your CCTV system, including but not limited to computers, networking devices, or peripherals.
  • Customer Responsibilities. It is your responsibility to ensure that your electrical installation meets applicable safety standards and regulations. We may provide recommendations regarding electrical wiring and grounding practices, but ultimate responsibility for compliance rests with you.
  • You are encouraged to implement additional measures to protect your CCTV system against power surges, such as installing uninterruptible power supplies (UPS) or lightning rods, as appropriate.
  • Exclusion of Liability for Third-Party Products: BoardTac Solutions shall not be liable for any defects or damages related to third-party CCTV equipment or products supplied by manufacturers. Any warranty claims or issues related to third-party products should be directed to the respective manufacturer.
  • Exclusion of Liability for Unauthorized Modifications: BoardTac Solutions shall not be liable for any damages resulting from the customer’s unauthorized modifications, tampering, or misuse of the CCTV system installed.
  • Exclusion of Liability for Force Majeure Events: BoardTac Solutions shall not be liable for any failure or delay in performing its obligations under the contract due to circumstances beyond its reasonable control, including but not limited to acts of nature, war, terrorism, strikes, or government of Kenya regulations.
  • Limitation of Liability for System Performance: BoardTac Solutions does not warrant or guarantee the performance of the CCTV system beyond what is outlined in the agreed-upon scope of work. BoardTac Solutions shall not be liable for any loss or damage resulting from the failure of the CCTV system to prevent or detect security breaches.
  • Exclusion of Liability for Customer’s Compliance Obligations: The customer acknowledges and agrees that it is solely responsible for compliance with any applicable laws, regulations, or industry standards regarding the use of CCTV surveillance systems. BoardTac Solutions shall not be liable for any fines, penalties, or legal consequences arising from the customer’s failure to comply with such requirements.
  • Limitation of Liability for Data Loss: BoardTac Solutions shall not be liable for any loss or corruption of data stored or transmitted through the CCTV system. It is the customer’s responsibility to implement appropriate backup and security measures to protect against data loss.
  • Exclusion of Liability for Unauthorized Access: BoardTac Solutions shall not be liable for any damages resulting from unauthorized access to the CCTV system, including hacking, cyber-attacks, or other security breaches. It is the customer’s responsibility to implement appropriate security measures to safeguard against such risks.

Client Responsibilities

1. Site Preparation

  • The client agrees to ensure that the installation site is accessible and ready for the installation team at the scheduled date and time.
  • The client shall clear the installation area of any obstacles or obstructions that may hinder the installation process.
  • If necessary, the client shall obtain any required permissions or approvals for the installation such as building permits or landlord consent.

2. Electrical and Internet Access

  • The client agrees to provide a suitable electrical outlet in close proximity to the designated installation location(s) for the system’s installation.
  • If internet connectivity is required for remote monitoring or other online functionalities, the client shall provide a reliable internet connection at the installation site.
  • The client is responsible for ensuring that the electrical outlet and internet connection are active and accessible at the scheduled installation date and time.
  • The client acknowledges and agrees to comply with all applicable laws, regulations, and industry standards related to the provision of electrical power and internet access for the CCTV, Access control, IT and network installation repair and maintenance.

3. Equipment Compatibility

  • The client acknowledges that it is their responsibility to ensure that any existing infrastructure or equipment at the installation site is compatible with the proposed systems installation.
  • The client shall provide accurate information regarding existing infrastructure, such as wiring, networking equipment, or other relevant systems, to facilitate the installation process.

4. Security and Access

  • The client shall provide necessary access to the installation site for our installation team, including keys, access codes, or security clearances, as applicable.
  • The client agrees to take reasonable measures to ensure the security of the installation site and any equipment or materials provided by us during the installation process.

5. Compliance with Laws and Regulations

  • The client acknowledges and agrees to comply with all applicable laws, regulations, and industry standards related to the installation and use of CCTV systems, including but not limited to privacy laws and regulations.

6. Communication

  • The client agrees to maintain open and timely communication with us throughout the installation process, including providing necessary information, responding to inquiries, and scheduling appointments.

7. Payment

The client agrees to make timely payment for the agreed-upon services in accordance with the payment terms outlined in the quotation or agreement provided by us.

7. Termination

  • Either party may terminate the agreement upon written notice if the other party breaches any material term of these terms and conditions and fails to remedy such breach within 30 days of receiving written notice of the breach.
  • Upon termination, you shall pay us for all Services provided up to the date of termination.

8. Entire Agreement

  • These terms and conditions constitute the entire agreement between you and us with respect to the Services and supersede all prior agreements and understandings, whether written or oral.

9. Amendments

  • We reserve the right to amend these terms and conditions at any time. Any amendments will be effective immediately upon posting on our website or other written notice to you.

Indemnification

The client agrees to indemnify and hold us harmless from any claims, damages, losses, or expenses arising out of or in connection with the client’s failure to fulfill their responsibilities as outlined in these terms and conditions.

By engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
